1. Acceptance of Terms

By accessing, subscribing to, or using Conciergo AI (the “Service”), you (the “Client”) agree to be bound by these Terms & Conditions (the “Agreement”) and all referenced policies, including the Privacy Policy and Refund Policy. If you do not agree, you may not use the Service.

2. Description of Service

Conciergo AI is a software-as-a-service (SaaS) platform that provides artificial intelligence–powered automation, communication, and coordination services for hotels and hospitality operators. The Service includes AI concierge systems, voice and message automation, operational dashboards, and related tools to enhance hotel operations and guest experience.

3. Account Registration & Access

Clients must provide accurate and complete information when creating an account. Each Client is responsible for maintaining the confidentiality of their login credentials and all activities under their account. Conciergo AI reserves the right to suspend or terminate accounts for misuse, unauthorized access, or breach of these Terms.

4. Pilot Program & Subscription

Conciergo AI may offer a pilot period for evaluation. During the pilot period, Clients may cancel anytime without penalty. If cancellation occurs within fifteen (15) days of activation, a full refund will be issued per the Refund Policy. Continued use of the Service beyond the pilot period constitutes acceptance of ongoing subscription fees.

5. Fees, Payments & Refunds

All fees are billed as stated in the applicable proposal, pricing plan, or subscription form.

Payments are due according to the billing cycle agreed upon.

Refunds will be handled in accordance with the Refund Policy, incorporated herein by reference.

Conciergo AI reserves the right to adjust pricing upon thirty (30) days’ written notice.

6. Service Availability & Support

Conciergo AI aims to maintain 99% uptime availability. Planned maintenance or upgrades will be communicated in advance whenever possible. Support is available via email at [email protected].

7. Data Protection & Privacy

Conciergo AI handles all client and guest data in compliance with applicable data protection laws, including the California Consumer Privacy Act (CCPA) and the EU General Data Protection Regulation (GDPR). Data collection, storage, and processing practices are detailed in the Privacy Policy, which is incorporated by reference.

8. Intellectual Property Rights

All software, AI models, data architecture, and related intellectual property of Conciergo AI remain the exclusive property of MADB Prime Media LLC. Clients retain ownership of their operational data and grant Conciergo AI a limited license to process such data solely for delivering and improving the Service.

9. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information received during the course of business. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.

10. Limitation of Liability

To the maximum extent permitted by law, MADB Prime Media LLC and Conciergo AI shall not be liable for any indirect, incidental, or consequential damages. Total liability for any claim shall not exceed the amount paid by the Client in the thirty (30) days preceding the claim.

11. Termination

Either party may terminate this Agreement with written notice if the other party breaches any material term. Clients may terminate service at any time per the Refund Policy. Upon termination, access to the Service will cease, and Conciergo AI may delete associated data after thirty (30) days.

12. Modifications

Conciergo AI may update these Terms from time to time. Updated versions will be posted on the website, and continued use of the Service constitutes acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration in Delaware.

14. Entire Agreement

These Terms, along with the Privacy Policy and Refund Policy, constitute the entire agreement between the Client and MADB Prime Media LLC (doing business as Conciergo AI) and supersede any prior agreements, proposals, or communications.
